The following is a contract detailing the sale and purchase of Mechs and Arms by the Iron Company through Shasta No Sekai in late YE 47. The Contract was made through official channels between the two groups.

Shasta No Sekai(SnS)/Iron Company(IC) Long-Term mechanized sales agreement c.YE-47.

Article 1: Scope of Agreement

• 1.1. Production Commitment

SnS agrees to fulfill the original order for the specified mecha and equipment as detailed below:

• Pathfinder Class Mech (Sw-Tw-1L): 200 units
• Fire Ant Mech (Sw-Tw-2L): 75 units
• Shasta No Sekai Lancer Class Mech (Sw-Tw-3L): 200 units
• Dynamiteon Class Mech (Sw-Tw-4L): 75 units
• Flyswatter Class Mech (Sw-Tw-5L): 125 units
• SnS Skirmisher Class Mech (SW-M10-1A): 320 units
• SnS Highwayman Medium Mech (SW-M11-1A): 75 units
• Sun Scorpion Class Mech (Sw-Tw-1m): 100 units
• All-Terry Class Mecha Tank (Sw-Tw-2m): 100 units
• Moon Spider Class Mech (Sw-Tw-4m): 50 units
• Shasta No Sekai Brawler Class Mech (Sw-Tw-5m): 75 units
• SnS Spike Grenades: 10,000 units

1.2. Delivery Schedule

• 30% of the total order will be delivered upfront within [60 days].
• The remaining 70% will be completed on site by the joint venture using the ISS Stupendemonia, an manufactory flagship, to be transferred ownership of to IC upon delivery.

2.1. Terms of Sale

• SnS will deliver the Stupendemonia to IC with its full manufacturing capabilities intact.
  • TheSteupendemonia will be transferred in ownership to the IC as is and SnS is not liable for damages or repairs.
• The Stupendemonia will include integrated production lines pre-calibrated for the specified mecha designs.
• Approx and up to date blueprints will be provided for the sake of manufacturing. All future updates and retrofits will be included as per agreement between affiliated parties.
• The IC has the right at a future date to purchase Codecs for any included mecha for the rights to retrofit with proprietary technologies.

2.2. Price and Payment Terms

IC agrees to pay SnS [22,000,000DA/11,000,000KS] for the following:

• HMMMS Stupendemonia; Factory/Flagship; 15-Million DA/7.5 Million KS equivilent.
• Sale of MECHA purchase; 4.2 Million DA/2.1 Million KS equivilent.
• Sale of MUNITIONS purchase: 150,000 DA/75,000 KS equivilent.
• Manufacturing Rights: Included in cost.
• Liason/Advisory capacity: Included in cost.
• Fuel/Transport cost: Included in cost.
• Tax: N/A

AMOUNT to be paid in THREE (3) installments.

3.1. Advisory/Liason Loan.

• SnS will provide up to TEN (10) individuals in an advisory role to help train, maintain, produce, and expedite IC mecha-based operations for first through third generation of IC staff.

SnS will provide advisory support for a duration of [5-10 Months]. SnS staff [STRAYS; TERROR WOLVES OF FREEHOLD] will offer training in the operation and maintanence of said MECHA. SnS staff will advise including into hostile engagements if necessary or any conditions felt required for training and advancement of first through third generation staff or until a period of MAX (10) months has passed. Article 4: Proprietary Rights

SnS retains full ownership and rights to its proprietary Fairy AI systems that will not be aquired or delivered to IC. Units will only be delivered with baseline AI functionality.

IC agrees not to reverse-engineer, distribute, or modify SnS proprietary technologies outside the scope of this agreement without written consent from SnS. This clause may be re-visited in the future.

5.1. Both parties agree to maintain the confidentiality of this agreement and any associated proprietary information.

This agreement shall be governed by and construed in accordance as a good-faith sales investment and submitted to any courts of the IC choosing if desired as an official bill of sale.

Either party may terminate this agreement with [90 days] written notice, subject to fulfillment of obligations incurred before the termination date. Any and all termination regardless of reasoning must see the full agreed amount paid in full regardless of material delivered or quality.
